General Terms and Conditions of EG SPA Solutions GmbH

1. Preamble, scope, place of performance and place of jurisdiction:

These general terms and conditions ("GTC") apply to all written contracts, online shop orders as well as offers and legal relationships based on verbal agreements as well as all other services and deliveries provided in connection therewith by EG SPA Solutions GmbH ("EG") with registered office AT-8055 Graz, Markusgasse 36a.
These GTC also apply to all future business relationships, even if they are not expressly referred to again before each individual business transaction, and take precedence over any other contracts or agreements concluded between EG and customers.

Any terms and conditions of the customer do not take precedence over these GTC and only bind EG if they have been expressly recognized in writing by EG in each individual business case. EG is not obliged to contradict the conditions used by the customer that conflict with these GTC. Failure to object does not mean consent or recognition. A reference by EG to the customer's documents does not imply acceptance of his conditions or regulations.

Verbal agreements also do not apply to consumers within the meaning of the KSchG if they go beyond the usual terms and conditions, especially if payment terms deviating from the usual terms and conditions are granted or quality assurances are made.

The place of performance for deliveries and payments and the exclusive place of jurisdiction is the registered office of EG in Graz.

2. Prizes:

The prices are subject to the items on which the offer is based remaining unchanged. The prices apply to deliveries ex works in Graz, packaging, freight, postage, insurance and other shipping costs. These items are charged additionally and separately.

3. Conclusion of contract, offer and reservation of changes:

The contract is concluded when the order is signed, by email order or by completing an online purchase. The offers are non-binding. Unless otherwise agreed in writing, the goods offered are of standard commercial quality, subject to technical changes and typographical errors in the brochure documents. Customary or minor technical deviations of the goods from the original order are not considered defects, do not trigger any warranty claims and do not entitle the customer to withdraw from the contract or to a price reduction.

4. Delivery, delivery time and acceptance date:

The goods are delivered by agreement (delivery via parcel service); Deviating delivery agreements require the express written form.
If the delivery is made by a parcel service or a forwarding agent, any damage must be reported to them. The goods are to be checked immediately upon acceptance, we are not liable for hidden transport damage.


In the event of non-acceptance of ordered goods, EG is entitled - without prejudice to further claims for damages - to demand 30% of the value of the ordered goods for expenses already incurred and lost profit.


5. Shipping, Payment and Default:

The goods will be shipped after receipt of payment for goods in stock (payment in advance, immediate payment, credit card or PayPal (credit card, direct debit, bank transfer)). EG has the right to determine the shipping method and the type of packaging.

The payment of the goods takes place before delivery of the goods in cash or advance payment, immediate payment, credit card or PayPal (credit card, direct debit, transfer)) without deduction exclusively in euros. A discount of 5% will be taken into account when the invoice is issued, will be charged if payment is not made on time and must be refunded.

In the event of late collection of the goods by the customer or default in payment, default interest of 8% pa above the base interest rate is deemed to have been agreed. EG is also entitled to claim compensation for other damages caused by the customer and incurred by EG (e.g. costs of extrajudicial collection or collection measures).



A right to withhold payments by the customer is excluded.


6. Retention of title:

EG retains ownership of all goods delivered by it until full payment of the purchase price or the wages including interest and ancillary fees. The customer is authorized to pass on his existing expectant rights with regard to the object of purchase within the scope of his business operations, but not to pledge or transfer ownership of the object of purchase by way of security. The customer must inform EG immediately in writing of an imminent seizure by third parties and cooperate in every way in asserting EG's rights. The resulting costs are borne by the customer. Before reselling goods to which EG has reserved property rights, the customer must first pay for the goods at EG. In addition, the customer already assigns any claims to EG for security and satisfaction and the customer may not assign these claims to third parties for security or satisfaction. EG only makes use of its rights from this assignment (cession) if the customer is in default of payment. At the request of EG, the customer undertakes to disclose the name and address of its customers as well as the existence and amount of the claims resulting from the resale and to inform their respective customers of the assignment of the claim. Furthermore, the customer is obliged to make the assignment of this claim to EG evident in his business books at the same time as invoicing his customer in a suitable manner. All amounts received through cash sales of goods to which EG has property rights are transferred by the customer to EG up to the amount of the outstanding claims of EG. The customer must hold these amounts for EG and keep them separate and distinguishable for EG. If insolvency proceedings are opened against the customer's assets, the above provisions on retention of title shall continue to apply. In the event of insolvency, the obligations arising from this agreement apply to the composition or bankruptcy administrator. If the goods delivered by EG subject to retention of title are sold after insolvency proceedings have been opened, EG is entitled, without prejudice to further claims for compensation, to separate the payment already made from the estate, but if the payment has not yet been made, to assign the right to the outstanding to demand payment. Should the proceeds from the sale of the goods delivered by EG subject to retention of title no longer be separately available, EG shall be entitled to a claim for enrichment against the estate in the amount of its claims

7. Notification of defects and duty to inspect:

The customer must immediately check the goods for correctness and completeness. Complaints about defects must be made in writing to EG within 8 days of acceptance of the goods.

In any case, a notice of defects is excluded if it is not made in writing before the start of the first commissioning or processing or further dispatch. In the event of timely and justified complaints, EG will, at its own discretion, provide a credit note or replacement against the return of the goods complained about. Further claims for damages of any kind are expressly excluded.

8. Compatibility and Incorporation

The customer confirms that he already knows the technical data (e.g. dimensions and weight of the goods) in full before the contract is concluded and that he has already checked the technical possibility of the installation, in particular the connection options (compatibility), in detail before placing the order. The customer confirms that conclusion of the contract to have received comprehensive written information about the goods and operating instructions.


9. Compensation and offsetting:

Any liability for damages on the part of EG for consequential damage or for indirect damage to the customer and his other customers in accordance with the relevant provisions of the ABGB is mutually excluded. EG is only liable for damages in the event of intent or gross negligence. Slight negligence on the part of EG is therefore expressly excluded.

If the customer is an entrepreneur, any liability of EG according to the Product Liability Act for damage to the customer's property is mutually excluded. If the goods are resold or otherwise passed on, the customer is obliged, regardless of whether they were processed or treated prior to resale, to agree an identical exemption clause in accordance with Section 9 PHG with his own customer, if this is an entrepreneur. The customer must oblige the buyer to agree an identical exemption clause with any buyer, otherwise any liability of Beta or any recourse to EG in the event of damage is excluded according to the provisions of the PHG. The special recourse according to § 933 b ABGB is excluded.

Offsetting against claims by EG is only permissible if the counterclaim has been determined by a court or acknowledged by EG in writing. Any guarantees or warranties apply exclusively to the customer and not to their customers.

10. Exemption from Fulfillment of Degrees:

Force majeure and its consequences release EG from the delivery obligation. Claims for damages for these reasons are excluded. Any use of delivered goods is the responsibility of the customer. He must comply with the applicable regulations and requirements. To guarantee the properties of the goods, express written confirmation by EG is required.
